Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the website at onstagearts.com and the software and related services (collectively, the “Services”) provided by On Stage Arts (Arts Venture Holdings LLC, “On Stage Arts,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
On Stage Arts provides software and related services for performing arts organizations. The Services are currently in a pre-launch, final production-readiness phase, and features, availability, and content may change or be unavailable from time to time.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services.
3. Accounts
If the Services allow you to create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to:
- Use the Services in violation of any law or regulation;
- Attempt to gain unauthorized access to the Services or related systems or networks;
- Interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer, copy, or resell the Services except as permitted by law;
- Use the Services to transmit unlawful, harmful, or abusive content.
5. Messaging
Where you opt in to receive text (SMS) messages, message and data rates may apply and message frequency varies. You can opt out at any time by replying STOP, or reply HELP for assistance. See our Privacy Policy for how we handle messaging data.
6. Intellectual property
The Services, including all software, text, graphics, logos, and other content, are owned by On Stage Arts or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. All rights not expressly granted are reserved.
7. Third-party services
The Services may link to or rely on third-party services. We are not responsible for the content or practices of third parties, and your use of them is subject to their terms.
8. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, On Stage Arts will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars (US$100).
10. Indemnification
You agree to indemnify and hold On Stage Arts harmless from any claims, damages, and expenses arising out of your use of the Services or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Howard County, Maryland for any dispute not subject to arbitration.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
